Terms of Service

Effective October 22, 2026

Part A: Terms of Use (everyone)

1. About these terms

These Terms of Service (the "Terms") are an agreement between you and Daniel J Huber ("GaitDesk", "we", "us"). They govern your use of gaitdesk.com, the GaitDesk web app and related services (together, the "Service"). They take effect on 10/22/2026.

Who's who. In these Terms:

  • A Show Company is a club, association affiliate, business or individual that runs horse shows on GaitDesk and holds a GaitDesk plan.
  • Show Staff are the people a Show Company gives access to its shows: show managers, show secretaries, scribes and gate stewards.
  • An Exhibitor is anyone who signs up for, enters or pays for a show through GaitDesk, including a parent or guardian acting for a youth exhibitor.
  • A Trainer is anyone with a listing in the GaitDesk Trainer Registry.
  • You means anyone using the Service, including someone who only views public results. If you accept these Terms for an organization, you confirm you are authorized to bind it, and "you" includes that organization.

Accepting these Terms. You accept these Terms by creating an account, choosing a plan, entering a show or otherwise using the Service. If you do not agree, do not use the Service.

GaitDesk is the software, not the show. Each show on GaitDesk is run by its Show Company. The Show Company sets its own prize list, entry fees, class schedule, entry deadlines, scratch and refund policies and show rules, and its officials decide results. An Exhibitor's agreement to enter a show is with the Show Company, not with GaitDesk.

How the parts fit together. Parts A and C apply to everybody. Part B adds terms for Show Companies (sections 6 to 8) and for Trainers who buy Registry Pro (section 9). Where Part B and Part A differ on a plan, fee or payment, Part B controls. A separate signed agreement between GaitDesk and a Show Company controls over both.

2. Accounts and roles

Who may have an account. You must be 18 or older to open an account on your own. A youth exhibitor aged 13 to 17 may have an account only with a parent or guardian's permission, and that parent or guardian accepts these Terms for them. A child under 13 may not have an account; a parent, guardian or trainer manages their entries instead.

Keep your information accurate. Show Companies, judges and associations rely on what you enter: your name, date of birth, contact details, memberships, and your horses' names, owners and registration numbers. Keep it current. You are responsible for entering a class you are eligible for.

Keep your login to yourself. One account belongs to one person. Do not share your password, and tell us at danjhuber@hotmail.com if you think someone else has used your account. You are responsible for what happens under your login.

Show Staff access comes from the Show Company. A Show Company decides who works its shows and in which role, and may add or remove its own staff and crew at any time. The Show Company is responsible for the people it gives access and for what they do in its shows. Access to a show ends when the Show Company removes you, or when its access ends under section 10.

Signing electronically. When you type your name to sign an entry blank, release or waiver in GaitDesk, that is your signature. A parent or guardian signing for a youth exhibitor confirms they have the authority to do so. The wording of every release and waiver comes from the Show Company, not GaitDesk, and the agreement it records is between you and the Show Company.

3. Acceptable use

Use GaitDesk only to run, enter, follow or promote horse shows and the people and horses in them. You may not:

  • break any law, or any association or show rule you are bound by, through the Service;
  • give false information, impersonate anyone, or enter someone else's horse or classes without their permission;
  • enter or change placings, scores, back numbers or payments you are not authorized to handle;
  • look at, copy or change another person's or Show Company's information beyond the access you were given;
  • collect personal information about exhibitors, trainers or staff from the Service for marketing or resale;
  • scrape, crawl or bulk-download the Service, other than viewing and sharing public results and listings in the normal way;
  • probe, scan or test the Service's security, or get around any access limit, plan limit or payment, without our written permission;
  • upload anything harmful, such as malware, or anything you have no right to share, such as another person's documents or photos;
  • post anything abusive, threatening, defamatory or discriminatory in a listing, comment or message;
  • copy, resell, rent or reverse engineer the Service, or use it to build a competing product;
  • interfere with the Service or put an unreasonable load on it.

We may remove content, or suspend an account, that breaks this section (see section 10).

4. Results, scoring and association rules

GaitDesk records results; it does not judge. Judges place classes and call scores and penalties. Show Staff enter them in GaitDesk, and the Show Company decides when they are published. GaitDesk does not decide what a maneuver is worth, which penalty applies, or who won.

Judge's cards are added up, not decided. Every score and penalty on a judge's card was called by a judge and written down by a scribe. GaitDesk adds them up, and Show Staff can overrule the total. Each change to a published placing or a card is kept in an audit history.

Published results are the Show Company's. Once published, results appear on public show pages. Questions, protests and corrections go to the Show Company and, where it applies, the association. GaitDesk does not hear protests or change a Show Company's results on request.

Association checks are a convenience. Where GaitDesk holds enough information, it flags likely problems, such as an AQHA class code, a membership number, a horse's registration, a workshop date or an age. These flags can be wrong or incomplete, and they never replace an association's own rules or review. Checking eligibility, and submitting results and fees to an association, remain the Show Company's and the Exhibitor's responsibility.

Points and standings are unofficial. High-point standings, circuit totals and similar figures in GaitDesk are worked out from the Show Company's published results and settings. They are not an association's official points unless that association says so.

5. Your content and data

You keep what you put in. Information, documents, photos, show bills and listings you add to GaitDesk stay yours. You give GaitDesk a non-exclusive, worldwide, royalty-free license to host, store, copy, process and display them only as needed to run, secure and improve the Service. That includes showing them to the people the Service is designed to show them to. You confirm you have the right to add everything you upload.

A Show Company controls its show records. Entries, back numbers, results, judge's cards, bills and payments recorded for a show belong to that show's records, and its Show Company decides how they are used. When you sign up for a show, the details you give are shared with that Show Company and kept on that show's own copy, so a later change to your profile does not rewrite a past show.

Some information is public by design. Show pages, class lists and published results are public. They show an exhibitor's name and back number, their horse with its owner, sire and dam, and the placing or score. A Trainer Registry listing is public. Everything else is visible only to you, the Show Companies you enter, and GaitDesk staff who need it to support the Service.

Documents and AI reading. When you upload a document, such as a health certificate or registration papers, or a Show Company uploads a show bill, GaitDesk may send it to a third-party AI service to read it and suggest values. A suggestion is never saved until a person checks it and saves it, and you are responsible for what you save. Document reading may be unavailable at any time; you can always enter the information by hand.

Email is a convenience. We send confirmations, invoices and reminders by email when we can, but delivery is not guaranteed. The same information is always available in the Service, and you should not rely on an email arriving.

Privacy. How we collect, use and share personal information is set out in our Privacy Policy at gaitdesk.com/privacy, which forms part of these Terms.

Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

Part B: Plan and License Terms

6. Plans for Show Companies

A Show Company may use GaitDesk on one of four plans. Its plan decides whether it can set up shows, which features its shows have, and how it is billed.

PlanPriceWhat the plan licenses
GaitDesk Free$0Setting up the company and its people: show managers, secretaries, scribes and gate stewards. No shows.
GaitDesk Basic$2 per billable exhibitor, per showRunning shows: registration, back numbers, the in-gate, scribing and judge's cards, live results on public pages, exhibitor bills and payment recording.
GaitDesk Pro$4 per billable exhibitor, per showEverything in Basic, plus financial reports, show bill import, association results exports, Live Boards (screens and monitors not included) and online payments from exhibitors.
GaitDesk Pro+$1,499 per year, paid in advanceEverything in Pro, with no per-exhibitor charge for any show that starts during a paid year. Renews as Pro+ (section 7).

Prices are in US dollars and exclude any applicable taxes.

License. While a Show Company is on a plan and keeps to these Terms, GaitDesk grants it a non-exclusive, non-transferable license to use the Service and the features of its plan to run its own shows, and to let its Show Staff and Exhibitors use them for those shows. The license cannot be sublicensed or used to run shows for another company on its plan. All rights not granted are kept by GaitDesk.

Billable exhibitor. A billable exhibitor is each person on a show's roster when the show is invoiced: signed up for the show and not cancelled. A person counts once per show however many horses or classes they enter. A person who cancels their sign-up before the show is invoiced is not counted. An exhibitor who scratches every class but stays signed up is counted.

Choosing a plan. A show manager or secretary of the Show Company chooses Basic or Pro on the My Company page. Choosing a plan is agreeing to its price and to these Terms. Nothing is charged at that moment; each show is invoiced after it ends.

Changing plans. A Show Company may move between Basic and Pro at any time, and the change takes effect at once. A show is billed at the highest plan its Show Company held on any day from the show's first day to its last day. A show run while the company was on Free is billed as Basic. To move back to Free, ask us at danjhuber@hotmail.com.

A show uses its own company's plan. The features available at a show are the plan of the Show Company that runs it, not the plan of any staff member's other company.

Changes to plans and prices. We may add features, change how a feature works, or change prices. We will give at least 30 days' notice by email and on My Company before raising a price or removing a feature from a plan. A show that starts before a price change takes effect is billed at the old price, and a Pro+ year already paid for keeps its price and features for the rest of that year.

7. Fees, invoicing and payment

Basic and Pro shows are invoiced after they end. After a show's last day, GaitDesk invoices the Show Company for its billable exhibitors at the show's plan rate. The invoice is emailed to the company's show managers and shown on My Company. It is due 30 days after it is issued.

Ways to pay an invoice. A Show Company may pay on My Company by bank transfer (ACH) for the invoice amount, or by credit card with a processing fee added (see section 8). It may also pay by check to 27901 Teale Ave, New Prague, MN 56071; a check counts as paid when GaitDesk records it.

Pay for a finished show before setting up the next. A Show Company cannot set up a new show, or move a show onto its account, while it has a finished Basic or Pro show that is not paid for. A show counts as paid once its invoice is paid or a bank payment for it is on its way. If that bank payment fails, the hold comes back until the invoice is paid.

Pro+ is paid in advance. A Show Company buys a Pro+ year on My Company: $1,499 by bank transfer, or by credit card with the processing fee added. The year starts when the payment succeeds and ends the day before its one-year anniversary. A show whose first day falls inside a paid Pro+ year carries no per-exhibitor charge. GaitDesk may also start a Pro+ year by arrangement, paid by check, invoiced on 30-day terms, or at no charge.

Pro+ renews as Pro+. Unless the Show Company chooses Basic or Pro on My Company before its year ends, its plan stays Pro+ and the next year is due when the current year ends. We email the company's show managers a reminder about 30 days before the end, and My Company shows a notice for the last 30 days. Renewal is not charged automatically; the company pays it on My Company. A renewal can be paid during the last 30 days of a year, and the new year starts the day after the current one ends.

An unpaid Pro+ renewal freezes the company's shows. If a Pro+ year ends without its renewal paid, then from the next day until the company pays the renewal or chooses Basic or Pro:

  • the Show Company cannot set up new shows and has no paid features;
  • every show of the company that had not finished by that day is frozen, including a show already in progress, and its Show Staff, gate and scribes cannot work it;
  • Exhibitors can still sign up for its shows, and public show pages and published results stay up.

There is no grace period. When the company pays the renewal, the new year is dated from the day after the old year ended, so every frozen show is covered. If a whole year has passed unpaid, a new year starts on the day of payment. If the company chooses Basic or Pro instead, its shows unfreeze at once; a show that started inside the paid year stays covered, and a show starting after the year ended is billed at the chosen plan.

Taxes. Prices exclude taxes. The Show Company pays any sales, use or similar taxes on its fees, other than taxes on GaitDesk's income.

Questions about an invoice. Every invoice line comes from the show's roster or the Pro+ year it covers. If you think an invoice is wrong, tell us at danjhuber@hotmail.com within 30 days of its issue date, and pay any part that is not in question.

Late payment. If an invoice is more than 30 days past due, we may suspend the Show Company's access to paid features after giving notice, as well as holding new shows as described above.

Refunds. Fees for a show that has run are not refundable. A Pro+ year is not refundable, including if the company chooses another plan or stops using GaitDesk part-way through the year. We may give a refund or credit at our discretion, and where the law requires it.

8. Online payments through Stripe

Stripe processes every online payment. GaitDesk's online payments are provided by Stripe, Inc. By paying or taking a payment online through GaitDesk, you also agree to Stripe's terms, including the Stripe Services Agreement and, for a Show Company's own account, the Stripe Connected Account Agreement. Online payment is offered only where GaitDesk has it switched on; you can always pay by other means the payee accepts.

Card numbers are never stored by GaitDesk. Card and bank details are entered into Stripe's own form and go straight to Stripe. GaitDesk keeps only Stripe's reference for each payment and the card brand, never any part of the card number.

A Show Company's own Stripe account (Pro and Pro+). A Show Company on Pro or Pro+ may connect its own Stripe account on My Company so Exhibitors can pay their show balance online. In that case:

  • the Show Company opens and owns the Stripe account, and Stripe verifies it, pays it out and charges it Stripe's fees directly;
  • the Show Company is the merchant: Exhibitors' payments go to its account, not through GaitDesk;
  • GaitDesk takes no fee or share of any Exhibitor's payment and never holds Exhibitor funds;
  • refunds, disputes and chargebacks are the Show Company's to handle in its own Stripe account, under its own refund policy, and the show office records any refund in GaitDesk;
  • GaitDesk is not responsible for Stripe's decisions about the account, such as verification, holds or payout timing.

The credit card fee. A processing fee may be added to a payment made by credit card. It is never added to a debit or prepaid card, or to a card Stripe cannot identify as credit, and never to a bank transfer. The fee covers the cost of processing and is capped at 3% of the amount paid. The payer sees the amount, the fee and the total before paying, and is charged exactly that total; if the amount owed changes first, the payment is refused rather than charging a different figure. GaitDesk adds this fee when a Show Company pays a GaitDesk invoice or buys Pro+ by credit card.

Passing the fee on to Exhibitors is the Show Company's choice. It is off unless the Show Company turns it on. By turning it on, the Show Company confirms that surcharging credit cards is allowed where it does business and that it will meet any notice rules that apply. The Show Company, not GaitDesk, is responsible for that choice.

Bank payments take a few days. A bank transfer is "on its way" until it settles, and a bank account entered by hand may first need a small test deposit confirmed. While a bank payment is on its way, the same balance or invoice cannot be paid again. If the payment fails, the balance or invoice is owed again.

Exhibitors. When you pay a show online, you authorize the charge to your card or bank account for the total shown. The amount you owe, and any refund, is decided by the Show Company; questions about a show bill go to the show office.

9. Trainer Registry

Two listings. A Basic listing is free and shows a trainer's name, business, disciplines and town. A Pro listing is $10 a month or $100 a year. It is marked Featured, appears above Basic listings and nearest-first in location searches, and adds a full profile and a Contact Trainer form.

Your listing is your responsibility. Everything in a listing, including credentials, association cards, awards, photos, videos and rates, must be accurate and yours to publish. GaitDesk does not check trainers' qualifications, insurance or conduct, and does not recommend or endorse any trainer. Choosing a trainer, and any agreement with one, is between you and that trainer.

Pro is a card subscription that renews until you cancel. You subscribe on your Registry page by credit or debit card through Stripe. Your subscription renews automatically at the end of each month or year at the price then in effect, and GaitDesk pays the card processing fee. You can cancel at any time with Manage subscription. Cancelling stops future renewals; Pro stays on until the end of the period already paid for, and partial periods are not refunded. GaitDesk may also give a trainer Pro through a date it records by arrangement.

When Pro ends, nothing is deleted. Your listing returns to Basic. Pro-only details stop being public but are kept, and come back if you subscribe again.

Price changes. We will give at least 30 days' notice by email before a price change takes effect, and it applies from your next renewal after that notice.

Part C: Terms for everyone (continued)

10. Availability, changes, suspension and termination

Have a backup at the show. We work to keep GaitDesk running, but it depends on internet access, hosting and payment providers that can fail, and we sometimes take it down for maintenance. We do not promise any level of uptime. A Show Company is responsible for internet access at its show grounds and for a way to keep running its show, such as paper entries and cards, if GaitDesk is unavailable.

The Service changes. We may add, change or remove features. Where a change takes away something a Show Company or Pro Trainer pays for, section 6 or section 9 applies.

Suspension. We may suspend or limit an account, a show or a Show Company's access if it breaks these Terms, if an invoice is past due as described in section 7, if the law requires it, or if it puts the Service or other users at risk. We will give notice and a chance to fix the problem first where it is practical and lawful to do so.

Leaving. You may stop using GaitDesk at any time. A Show Company may close its account by writing to danjhuber@hotmail.com. Fees for shows that have already run remain due, and section 7's refund terms apply to a Pro+ year. A Trainer may cancel Pro as described in section 9.

What happens to data afterwards. Published results stay part of each show's public record. Invoices and payment records are kept as long as the law requires. A Show Company that asks within 30 days of closing its account will receive a copy of its shows' entries, results and financial records in a common file format. Other personal information is handled as described in the Privacy Policy.

What survives. Sections 5, 7 (for amounts owed), 10, 11 and 12 continue after an account closes.

11. Disclaimers, limitation of liability and indemnity

GaitDesk is not part of the show. GaitDesk does not organize, sponsor or supervise any horse show or equine activity. Horse activities carry inherent risks of injury and death. GaitDesk is not responsible for injury, illness, loss or damage to any person, horse or property at or connected with a show.

The Service is provided as is. TO THE EXTENT THE LAW ALLOWS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. In particular, GaitDesk does not warrant that the Service will be uninterrupted or error-free, or that results, totals, association checks, points, standings or AI-read suggestions are complete or correct.

Limits on our liability. TO THE EXTENT THE LAW ALLOWS:

  • GAITDESK IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, ENTRIES, PRIZE MONEY, POINTS OR DATA, EVEN IF WARNED THEY WERE POSSIBLE;
  • GAITDESK'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID GAITDESK IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100.

These limits do not apply where the law does not allow them, such as for fraud or gross negligence in some states.

Your responsibility to us. You will defend and indemnify GaitDesk and its owners, employees and contractors against third-party claims, and the losses and reasonable legal costs that follow, arising from your content, your breach of these Terms, or your breach of any law. A Show Company's responsibility also covers claims arising from its shows, including its prize money, fees, refunds, card surcharges, waivers and results.

12. General

Governing law. These Terms are governed by the laws of Minnesota, without regard to its conflict-of-law rules.

Disputes. If you have a dispute with GaitDesk, write to us at danjhuber@hotmail.com first, and we will both try in good faith to resolve it within 30 days. If we cannot, the dispute will be heard only in the state or federal courts in Scott County, Minnesota, and both of us agree to those courts' jurisdiction. Either of us may instead bring a claim in small claims court where it qualifies.

Changes to these Terms. We may update these Terms. We will post the new version with its effective date and, for a change that materially affects Show Companies or Pro Trainers, email them at least 30 days before it takes effect. Using the Service after a change takes effect means you accept it. A change does not alter the price of a show that has already started or a Pro+ year already paid for.

Notices. We send notices to the email address on your account, or to a Show Company's show managers. You send notices to danjhuber@hotmail.com or 27901 Teale Ave, New Prague, MN 56071.

Events outside our control. Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as severe weather, power or internet outages, a provider's outage, a disease outbreak among horses, or government action. This does not excuse paying amounts already owed.

Other terms. You may not transfer these Terms or your plan without our written consent; we may transfer them as part of a merger, acquisition or sale of GaitDesk. These Terms, the Privacy Policy and any signed agreement with a Show Company are the whole agreement between us about the Service. If a court finds part of these Terms unenforceable, the rest still applies. Our not enforcing a term is not a waiver of it. We are independent of each other, and nothing here makes either of us the other's partner, employee or agent.
